Terms and Conditions

 

I. Preliminary Provisions

 

This document, herein referred to as the “Terms”, constitutes the entirety of the contractual obligations and covenants between Axion Academy (hereinafter referred to as the “Academy”) and you, the participant (hereinafter referred to as the “Client”). By enrolling in or utilizing any services proffered by the Academy, you irrevocably agree to be bound by these Terms, which shall govern the stipulated contractual relationship herein.

 

II. Intellectual Property Covenant

 

All proprietary materials, educational content, and associated methodologies (hereinafter collectively referred to as the “Materials”) are the sole intellectual property of the Academy and are safeguarded by the pertinent copyright and intellectual property legislation. The Client is granted a limited, revocable, and non-exclusive license to utilize the Materials solely for personal, non-commercial use. Any replication, dissemination, or unauthorized utilization of the Materials, in whole or in part, is expressly forbidden and may subject the Client to legal reprimand or penalties.

 

III. Conditions of License

 

The Academy confers upon the Client a limited license to access and engage with the Materials, contingent upon strict adherence to these Terms. This license is non-transferrable and does not confer any rights of ownership to the Client. The Client agrees to refrain from any actions that would infringe upon the Academy’s proprietary rights or disrupt the integrity of the services provided.

 

IV. Proscribed Conduct

 

The Client is explicitly prohibited from:

Engaging in the unauthorized recording, reproduction, or transmission of any part of the Materials.

Facilitating the unauthorized distribution or public dissemination of the Materials.

Undertaking any activity that would constitute a breach of the Academy’s intellectual property or a derogation of the Academy’s reputation and standing.

 

V. Financial Provisions

 

The Client shall remit to the Academy all fees associated with the enrollment in the Programs prior to commencement. Such fees, once remitted, are deemed fully earned and non-refundable, in recognition of the Academy’s allocation of resources and reservation of capacity for the Client. The no-refund policy is predicated on the bespoke nature of the services rendered and the intellectual value of the Materials provided.

 

VI. Disclaimers and Limitation of Liability

 

The Academy provides its services “as is” and does not purport to offer any warranties, express or implied, regarding the efficacy or suitability of the Programs. The Academy disclaims all warranties to the maximum extent permissible under law. The Academy shall not be liable for any incidental, consequential, or punitive damages arising from the Client’s use of the services.

 

VII. Modifications of Terms

 

The Academy reserves the exclusive right to modify these Terms at any interval and without prior notice. The continued engagement of the Client with the Academy’s services subsequent to any such modifications shall constitute an assent to and acceptance of the revised Terms.

 

VIII. Jurisdiction and Dispute Resolution

 

These Terms shall be governed and construed in accordance with the laws of [Specify Jurisdiction]. Any disputes arising under these Terms shall be adjudicated exclusively in the courts of [Specify Jurisdiction], to which the Client irrevocably submits.

 

IX. Acknowledgment and Acceptance of Terms

 

By availing yourself of the Academy’s services, you acknowledge that you have read, understood, and accept to be legally bound by these Terms, which form a binding agreement between the Client and the Academy.
